TELION PRODUCT TERMS OF SALE

PUBLISHER-REVIEW DRAFT — NOT APPROVED FOR COMMERCIAL DISTRIBUTION
Draft version: 2026-09-05

These product terms are distinct from the Telion website-use terms. TELION LLC
must complete and review the issuing entity, taxes, renewal notices, cancellation,
refunds, statutory consumer rights, billing disputes, governing law, and
regional disclosures before paid checkout is enabled.

Each order identifies a Telion plan, billing interval, price, authorized account
or organization, and effective entitlement limits. The purchaser must select a
plan whose permitted use covers the actual purpose and beneficiary of the work.
Free, Individual, Educational, and Academic Research plans do not authorize
commercial business use. Professional, Startup, Business, and signed Enterprise
plans authorize commercial use only within their named-user, organization,
machine, compute, and other entitlement limits.

Changing employers, collaborators, project purpose, users, machines, model
size, or compute requirements can require a plan change. A university email or
academic affiliation does not authorize a business to use an Educational or
Academic Research price. The purchaser must correct or upgrade the plan before
continuing work outside its permitted scope.

Educational and multi-user Academic Research access are not offered through
self-service checkout. They require a separately verified institution agreement
that defines authorized instructors, researchers, students, roles, account
management, member eligibility, and applicable privacy obligations.

The production terms must identify whether a subscription renews automatically,
the price and billing interval, how and when to cancel, when cancellation takes
effect, applicable refund rights, included taxes, and the support contact.
